These Terms constitute a legally binding agreement between you ("Client") and Designotic. If you disagree with any part of these terms, you may not access our services.

By accessing or using Designotic services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.

Eligibility

You must be at least 18 years old to use our services. By using our services, you represent and warrant that you are at least 18 years of age.

Modification of Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of our services after any changes constitutes your acceptance of the new Terms.

Important

It is your responsibility to review these Terms periodically for changes. If you do not agree to the modified Terms, you must discontinue using our services.

Services Description

Designotic provides the following website services:

Website Design & Development

  • Single Page Website: Design and development of a one-page website with basic features
  • 5 Page Website: Design and development of a website with up to five pages
  • Custom Website: Tailored website solutions with custom features and functionality

Additional Services

  • Website hosting and domain registration
  • Search Engine Optimization (SEO)
  • Website maintenance and updates
  • E-commerce solutions
  • Graphic design and branding
Website Package The specific set of services and features included in your chosen plan (Single Page, 5 Page, or Custom).
Project Scope The defined set of deliverables, features, and timeline agreed upon between Designotic and the Client.

Pricing & Payment Terms

All prices are in Australian Dollars (AUD) and are subject to change without notice. The prices displayed on our website are current at the time of viewing.

Current Pricing Structure

Single Page Website $69 AUD 100% upfront payment
5 Page Website $89 AUD 100% upfront payment
Custom Website Quoted individually 50% deposit, 50% on completion

Payment Methods

We accept payments via credit/debit card, PayPal, and bank transfer. All payments must be made in Australian Dollars (AUD).

Payment Schedule for Custom Projects

  1. Deposit: 50% of the total project cost is required before work begins
  2. Final Payment: 50% balance is due upon project completion and before final delivery
  3. Additional Work: Any work outside the original scope will be billed separately

Late Payments

Payments are due as specified in your invoice. Late payments may result in suspension of services and a late fee of 2% per month on the outstanding balance.

Intellectual Property Rights

Client Materials

You retain ownership of all content, materials, and intellectual property you provide to us for your project ("Client Materials"). You grant Designotic a non-exclusive license to use Client Materials solely for the purpose of providing services to you.

Designotic Materials

We retain ownership of all pre-existing materials, tools, templates, code libraries, and intellectual property that we own or license ("Designotic Materials"). We grant you a non-exclusive, non-transferable license to use Designotic Materials as part of your delivered website.

Delivered Website

Upon full payment, you will own the final delivered website design and code, excluding:

  • Any Designotic Materials incorporated into the website
  • Third-party components, plugins, or libraries with their own licensing terms
  • Templates or themes that are licensed separately

Open Source Components

Our websites may include open-source components that are subject to their own licenses. You agree to comply with all applicable open-source licenses.

Client Responsibilities

As our client, you agree to:

Content Provision

  • Provide all necessary content (text, images, logos) in a timely manner
  • Ensure all provided content is accurate, legal, and does not infringe on third-party rights
  • Obtain all necessary permissions for any third-party content used

Cooperation & Communication

  • Respond to our requests for feedback and approvals within 3 business days
  • Designate a primary point of contact for the project
  • Provide clear, constructive feedback during the review process

Legal Compliance

  • Ensure your website content complies with all applicable laws and regulations
  • Obtain any necessary licenses or permissions for your business operations
  • Include necessary legal pages (Privacy Policy, Terms of Service) on your website

Project Delays

Failure to provide required materials or feedback may result in project delays. Designotic is not responsible for delays caused by client inaction.

Delivery & Project Timeline

Standard Delivery Times

  • Single Page Website: 3-5 business days from receipt of all required materials
  • 5 Page Website: 5-10 business days from receipt of all required materials
  • Custom Website: Timeline specified in project proposal

Project Initiation

Work begins only after:

  1. We receive your signed agreement or order confirmation
  2. We receive the required deposit payment
  3. You provide all necessary materials and information

Delivery Method

Completed websites are typically delivered via:

  • Staging website for review and approval
  • Final files transferred to your hosting account
  • Live deployment on your domain

Timeline Extensions

Project timelines may be extended for reasonable causes including client delays, scope changes, or unforeseen technical challenges. We will notify you of any significant timeline changes.

Revisions & Scope Changes

Included Revisions

  • Single Page Website: 2 rounds of revisions
  • 5 Page Website: 3 rounds of revisions
  • Custom Website: As specified in project proposal

Scope Changes

Any changes to the original project scope may result in:

  • Additional charges
  • Extended timeline
  • Revised deliverables

Change Request Process

  1. Submit a written change request describing the requested modifications
  2. We will provide a quote for the additional work and timeline impact
  3. Upon your approval, we will implement the changes

Important Limitation

Revisions are limited to the originally agreed scope. Complete redesigns or fundamental changes to the agreed concept are considered scope changes and may incur additional charges.

Cancellation & Refund Policy

Cancellation by Client

You may cancel your project at any time by providing written notice. Cancellation fees apply as follows:

  • Before work begins: Full refund of any deposit paid
  • After work begins but before design approval: 50% of deposit retained as cancellation fee
  • After design approval: No refund, full payment due for work completed

Cancellation by Designotic

We reserve the right to cancel a project for reasons including:

  • Non-payment of invoices
  • Client failure to provide necessary materials
  • Abusive or inappropriate behavior
  • Illegal or unethical project requirements

Refund Policy

Refunds are issued under the following conditions:

  • If we are unable to deliver the promised services
  • For cancellations made before work begins
  • As required by Australian Consumer Law

Australian Consumer Law

Our services come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage.

Warranty & Technical Support

Warranty Period

  • Single Page Website: 30-day warranty from delivery date
  • 5 Page Website: 60-day warranty from delivery date
  • Custom Website: As specified in project agreement

What's Covered

During the warranty period, we will fix, at no additional cost:

  • Errors in code we developed
  • Functionality that doesn't work as specified
  • Issues caused by our implementation

What's Not Covered

The warranty does not cover:

  • Issues caused by client modifications to the code
  • Problems with third-party plugins or components
  • Hosting or server-related issues
  • Content updates or changes

Post-Warranty Support

After the warranty period, support is available through our maintenance plans or on an hourly basis. Current hourly rates are available upon request.

Limitation of Liability

To the maximum extent permitted by law, Designotic's total liability to you for any claim arising out of or relating to these Terms or our services shall not exceed the total amount you paid to us for the services giving rise to the claim.

Exclusions

In no event shall Designotic be liable for:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or use
  • Damages related to third-party services or products
  • Issues caused by client negligence or failure to follow instructions

Important Limitation

This limitation of liability applies regardless of the legal theory on which the claim is based, including contract, tort, negligence, strict liability, or any other basis, even if Designotic has been advised of the possibility of such damages.

Termination

These Terms remain in effect until terminated by either party. You may terminate these Terms by discontinuing use of our services and providing written notice of termination.

Termination by Designotic

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including:

  • Breach of these Terms
  • Non-payment of fees
  • Violation of applicable laws
  • Engaging in fraudulent or illegal activities

Effect of Termination

Upon termination:

  • Your right to use our services will immediately cease
  • Any outstanding payments become immediately due
  • We may disable your access to any hosted services
  • Sections that should survive termination will continue in effect

Governing Law & Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of New South Wales, Australia, without regard to its conflict of law provisions.

Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms, the parties agree to:

  1. First attempt to resolve the dispute through good faith negotiations
  2. If unsuccessful, engage in mediation with a mutually agreed mediator
  3. As a last resort, pursue resolution through the courts of New South Wales

Consumer Protection

These Terms do not affect your statutory rights as a consumer under Australian Consumer Law. If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary.
